Please read these Terms and Conditions (“Agreement”) carefully before using the services provided by ZPO Brain Power. This Agreement sets forth the legally binding terms and conditions for the use of our web design and development, content writing, editing and proofreading, and mobile application services (“Services”).

1. Acceptance of Terms

By accessing or using our Services, you agree to be bound by this Agreement and our Privacy Policy. If you do not agree to these terms, you may not use our Services.

2. Client Responsibilities

2.1 Information and Materials: The client agrees to provide accurate and complete information, including text, images, logos, and any other materials required for the completion of the project. The client retains ownership and responsibility for the content provided.

2.2  Timely Communication: The client agrees to respond to our company’s requests, inquiries, and feedback promptly to ensure smooth project execution. Delays in communication may impact project timelines.

3. Intellectual Property

3.1  Ownership:  All intellectual property rights, including copyrights, trademarks, and patents, related to the work created by our company shall remain the property of the company unless otherwise agreed upon in writing.

3.2  Client Content: The client grants our company a non-exclusive, royalty-free license to use, reproduce, modify, and display client-provided content solely for the purpose of providing the Services. The client warrants that they have the necessary rights or permissions to grant such a license.

4. Confidentiality

4.1  Confidentiality: Both parties agree to keep any confidential information shared during the course of the project confidential and not disclose it to any third party without the other party’s written consent, except as required by law.

5. Payment Terms

5.1  Fees: The client agrees to pay the agreed-upon fees for the Services provided by us. Fees may be determined based on project scope, time, or as otherwise agreed upon.

5.2 Payment Schedule: Payment terms will be specified in the project proposal or agreement. The client agrees to make payments according to the agreed-upon schedule, which may include upfront deposits and milestone payments.

6. Termination

Either party may terminate this Agreement if the other party fails to fulfill its obligations under this Agreement. In the event of termination, the client shall pay for the Services provided up to the termination date.

7. Limitation of Liability

ZPO Brain Power shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use of our Services, including but not limited to loss of data, loss of profits, or business interruption.

8. Amendments

We reserve the right to modify or update these Terms and Conditions at any time. The most current version will be posted on our website. We recommend you to review these terms periodically.
